The Draft Agreement between the Government of the Russian Federation and the Government of the Kyrgyz Republic on cooperation in the transportation, distribution and sale of natural gas in the Kyrgyz Republic (hereinafter – the Agreement) was developed by the Russian Foreign Affairs Ministry and the Russian Energy Ministry to facilitate cooperation under the Agreement between the Council of Ministers of the Government of the Russian Federation and the Government of the Kyrgyz Republic on cooperation in the development of the oil and gas industry from 2 March, 1993.
The Agreement designates the authorised organisations of the parties responsible for its implementation – OAO Gazprom and OAO KyrgyzGas.
Under the Agreement, the Kyrgyz side provides for the establishment in the Kyrgyz Republic of a 100 per cent subsidiary of its authorised organisation, transferring all property, rights and interests owned by OAO KyrgyzGas to it (hereinafter – the company).
On the basis of the sales contract between OAO Gazprom and OAO KyrgyzGas, a 100 percent stake in the company's share capital is transferred to OAO Gazprom through direct sale. The value of the stake is defined as 1 (one) US dollar.
Under the Agreement, the Company and its legal successors conduct the following main types of business:
- Supply of gas to the Kyrgyz Republic
- Underground gas storage in the Kyrgyz Republic
- Distribution and sale of gas in the Kyrgyz Republic
- Construction, overhaul and maintenance of gas transmission and distribution systems, underground gas storage facilities and other infrastructure of the Kyrgyz Republic’s gas complex.
The Agreement provides for the obligation of the Kyrgyz side to provide a number of safeguards aimed at creating favourable conditions for the company’s business.
OAO Gazprom guarantees:
- Investment in the modernisation and overhaul of gas infrastructure owned by the company in an amount not less than 20 billion roubles
- Development and modernisation of the company’s equipment and main gas pipelines
- Compliance with the tariff policy approved by the Kyrgyz side
- Uninterrupted supply of natural gas to consumers in the Kyrgyz Republic conforming to existing technical capabilities and conditions for the transit of natural gas in the Kyrgyz Republic
- Guaranteed supply of natural gas to consumers in the Kyrgyz Republic in the volumes stipulated in the signed contracts
The Agreement is for a 25-year period.
The draft agreement was reviewed and approved at a meeting of the Government of the Russian Federation on 26 December, 2013.
